    End User License Agreement (EULA)

    This End User License Agreement ("Agreement") is entered into between Jerry Harvey Audio LLC™ ("JH Audio™" or "we") and the end user ("End User" or "you"). This Agreement governs your use of any software, firmware, or other related materials provided by JH Audio™, including but not limited to any updates or modifications (collectively referred to as the "Software").


    1. License Grant:

    JH Audio™ hereby grants you a personal, non-exclusive, non-transferable license to use the Software for your personal and non-commercial purposes.

    2. Restrictions:

    You may not, directly or indirectly:

    • Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Software.
    • Modify, adapt, translate, or create derivative works based on the Software.
    • Rent, lease, sublicense, or otherwise transfer rights to the Software.

    3. Ownership:

    JH Audio™ retains all right, title, and interest in and to the Software, including all intellectual property rights.

    4. Updates:

    JH Audio™ may provide updates to the Software, and you agree to install such updates promptly to ensure continued compatibility.

    5. Disclaimer of Warranty:

    The Software is provided "as is" without warranty of any kind. JH Audio™ disclaims all warranties, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

    6. Limitation of Liability:

    To the extent permitted by law, JH Audio™ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

    7. Termination:

    This license is effective until terminated. JH Audio™ may terminate this Agreement at any time if you fail to comply with its terms. Upon termination, you must cease all use of the Software.

    8. Governing Law:

    This Agreement is governed by the laws of the state of Florida, without regard to its conflict of law principles.

    9. Venue:

    Any legal action or proceeding arising under or relating to this Agreement shall be brought exclusively in the state or federal courts located within the state of Florida.

    10. Severability:

    If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.

    11. Waiver:

    The failure of JH Audio™ to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

    12. Entire Agreement:

    This Agreement constitutes the entire agreement between you and JH Audio™ regarding the Software and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties.

    13. Your Acknowledgment:

    YOU ACKNOWLEDGE THAT YOU HAVE READ THIS EULA, UNDERSTAND IT, AND AGREE BY USING THE SOFTWARE TO BE BOUND BY ITS TERMS.
